Sprout terms of service

These terms are an agreement between you and OpenCloud Solutions Limited (company number [company number to be supplied], registered office [registered office to be supplied]), which operates Sprout. Our VAT number is [VAT number to be supplied]. In these terms, "we", "us" and "our" mean OpenCloud Solutions Limited.

The terms cover Sprout at https://feat-sprout-preview-profile-5ea7a2a.ocd.dev, the apps hosted on Sprout, Sprout's Agent, and the connection between Sprout and your own AI app. By using Sprout, you agree to these terms. Our privacy policy explains how we handle personal information.

Who can use Sprout

You must be at least 18, or the age of majority where you live, to create and hold a Sprout account.

Sprout is made for families, friends, clubs and hobby groups. The account holder, such as a parent, guardian or club organiser, is responsible for the apps they build. Family members and others may use those apps under the account holder's responsibility.

You are responsible for the email account, password, browser, devices and AI apps you use with Sprout. Don't share passwords, sign-in links, tokens or API keys. If you think your account or an app has been compromised, tell us promptly at support@sprout.is.

The service

Sprout gives you hosting and tools to build and run small web apps with AI, including private previews with test data, publishing, sign-in, data and file storage, scheduled tasks, backups and checks.

Sprout is a new service. Features, limits and the way things work may change, and we may improve, replace or stop a feature. We will never knowingly tell you that a change went live, or that a check passed, when it didn't.

Your apps and content

You keep the rights you already have in the code, data, files and other content you put into Sprout. You give us a worldwide, non-exclusive licence to host, copy, process, send, back up and display that content, only as needed to provide, secure, maintain and support Sprout.

You are responsible for your apps, the people who use them, the information they collect, telling those people how it is used, and following the law. You must have the rights and permissions you need for everything you put into Sprout.

Sprout isn't designed for highly sensitive or regulated information, such as payment card details or medical records, so please don't use it for that kind of information.

Acceptable use

You must not use Sprout to:

Good-faith security research must follow the instructions on our support page and must not access or keep data that isn't yours.

If you find an app that breaks these rules, please report it.

AI apps and providers you connect

Sprout doesn't sell, provide or pay for AI. You bring your own: an AI app such as ChatGPT, Codex, Claude, Claude Code or Cursor connected to Sprout, or your own ChatGPT or Claude sign-in, or OpenAI or Anthropic API key, connected to Sprout's Agent.

Your use of those services is covered by your own agreement with their provider, including its fees, limits and rules. You are responsible for following that agreement.

AI can be wrong. Code, plans and answers written by AI can be incomplete or mistaken, and you are responsible for checking the changes your AI makes. Sprout's previews and checks lower the risk, but they don't guarantee that an app is free of errors, secure for every use or lawful.

Some actions can't easily be undone. Publishing, restoring a backup, rolling back, deleting a secret or deleting an app can change or remove data. Make sure you or your AI choose the right app before confirming. We may ask for extra confirmation, reject out-of-date changes, or refuse a request that looks unsafe or unauthorised.

Never put a password or API key in a chat or in your app's code. Use Sprout's secret-entry page, or let Sprout create the secret for you.

Paid plans

Sprout has a Free plan and paid plans, currently called Advance and Max. Paid plans give your apps more room, such as more apps and storage. They never include AI: you pay your AI provider directly.

You'll see each plan's price and limits before you buy. Paid plans are subscriptions that renew automatically at the end of each billing period until you cancel.

Paid plans are sold through Stripe Managed Payments, and Stripe is the merchant of record. Stripe takes your payment, charges any VAT or sales tax, sends your receipts, and handles refunds and payment disputes under the terms shown at checkout.

You can cancel at any time. Your paid plan stays active until the end of the period you have paid for, and then your account moves to the Free plan. If a payment fails and can't be collected, your subscription ends and your account moves to the Free plan.

If your account moves to a plan with lower limits, your existing apps keep working for 3 days. After that, apps over the new limits are paused until you upgrade or remove apps. We don't delete your apps or their data because of a plan change.

If we change the price of your plan, we'll tell you before the change applies to you, and you can cancel before then. Nothing in this section affects your legal rights as a consumer, including any right to cancel.

Suspension and ending your account

We may suspend or limit an app or account to protect Sprout or other people, to meet legal requirements, if a payment isn't made, or while we investigate a serious breach of these terms. Where we can, we'll tell you why.

If you sign up with a password and don't confirm your email address within 24 hours, we pause your access and your apps until you confirm it.

You can stop using Sprout at any time. You can delete your account from your preferences: your apps go offline, any paid subscription ends, and your account, apps and their data are then deleted. Some backup, audit, security and legal records may remain until their retention periods end.

Availability and warranties

We provide Sprout with reasonable care and skill. As far as the law allows, we don't promise that Sprout will always be available, uninterrupted or free of errors, or that it will suit every purpose. Nothing in these terms affects your legal rights as a consumer.

Limitation of liability

If we break these terms or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that is a foreseeable result. As far as the law allows, we are not responsible for loss or damage that was not foreseeable, or for lost profits, revenue, goodwill, business opportunities or data.

Nothing in these terms limits our liability where the law doesn't allow it, such as for death or personal injury caused by our negligence, or for fraud.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales can hear disputes about them. If you live in Scotland or Northern Ireland, you can also bring proceedings in your local courts. If you live elsewhere, you keep any protections that the law where you live gives you.

Changes to these terms

We may update these terms as Sprout changes. We'll show the new date at the top of this page. If a change significantly reduces your rights, we'll tell you in advance, for example by email. If you keep using Sprout after the new terms take effect, they apply to you. If you don't agree, you can stop using Sprout and delete your account.
